Taxes and Governmental Charges; Expenses. (a) Transfer taxes in accordance with the terms of Article 726-1(Degree) of the French Tax Code shall be borne by the purchaser of the Shares (it being understood that transfers of interests in CEVCO are subject to the fixed duty of FF 500 pursuant to Article 680 of the French Tax Code).
