Common use of TAXES AND PREPAID ITEMS Clause in Contracts

TAXES AND PREPAID ITEMS. Except as otherwise provided herein, Seller will pay all sales, use, franchise, and other taxes and charges, which may become payable in connection with the sale of the Assets pursuant to the terms of this Agreement, and any and all other taxes and charges accruing out of the operation of Seller's businesses prior to the Closing Date. Purchaser and Sell shall agree prior to the Closing Date the tax allocation of the purchase Price to the Assets and Assigned Contracts.

Except as otherwise provided herein, Seller will pay all sales, use, franchise, and other taxes and charges, including, without limitation, ad valorem, or other taxes on the Real Estate, which may become payable in connection with the sale of the Assets pursuant to the terms of this Agreement, and any and all other taxes and charges accruing out of the operation of Seller's businesses prior to the Closing Date. Purchaser and Sell shall agree prior to the Closing Date the tax allocation of the purchase Price to the Assets and Assigned Contracts.

Notwithstanding the foregoing, Purchaser and Sell shall agree prior to be responsible for payment of any local or state sales tax imposed in connection with the Closing Date the tax allocation sale of the purchase Price to the Assets and Assigned Contractsfixed assets.
