Taxes Due upon Exchange. If a Holder exchanges a Note, the Issuer will pay any Transfer Taxes due on the issue of any Ordinary Shares upon the exchange (including any Transfer Taxes due on the issue or transfer of any Ordinary Shares represented by such Ordinary Shares), unless the tax is due because the Holder requests that any Ordinary Shares be issued in a name other than the Holder’s name, in which case the Holder will pay that tax.
