Common use of Taxes on Issuance of Shares of Common Stock Clause in Contracts

Taxes on Issuance of Shares of Common Stock. The Company shall from time to time promptly pay all taxes and charges that may be imposed upon the Company or the Warrant Agent with respect to the issuance or delivery or shares of Common Stock upon the exercise of Warrants, but the Company shall not be obligated to pay any transfer taxes with respect to the issuance or delivery of the Warrant Certificates or shares of Common Stock in a name other than that of the Warrant Holder. The Warrant Agent shall be authorized to charge Warrant Holders a transfer fee of up to $7.50 per certificate.
