Common use of Taxes; Pensions Clause in Contracts

Taxes; Pensions. Timely file, and require each of its Subsidiaries to timely file, all required tax returns and reports and timely pay, and require each of its Subsidiaries to timely pay, all foreign, federal, state and local taxes, assessments, deposits and contributions owed by Borrower and each of its Subsidiaries, except for deferred payment of any taxes contested pursuant to the terms of Section 5.9 hereof, and taxes not in excess of Fifty Thousand Dollars ($50,000) in the aggregate, and shall deliver to Bank, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.

Timely file, and require each of its Subsidiaries to timely file, all required tax returns and reports and timely pay, and require each of its Subsidiaries to timely pay, all foreign, federal, state and local taxes, assessments, deposits and contributions owed by Borrower and each of its Subsidiaries, other than taxes which in the aggregate do not at any time exceed Fifteen Thousand Dollars ($15,000), and except for deferred payment of any taxes contested pursuant to the terms of Section 5.9 hereof, and taxes not in excess of Fifty Thousand Dollars ($50,000) in the aggregate, and shall deliver to Bank, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.

Timely file, and require each of its Subsidiaries to timely file, all required tax returns and reports reports, and timely pay, and require each of its Subsidiaries to timely pay, all foreign, federal, state and local taxes, assessments, deposits and contributions in excess of $5,000 (in the aggregate for Borrower each of its Subsidiaries combined) owed by Borrower and each of its Subsidiaries, except for deferred payment of any taxes contested pursuant to the terms of Section 5.9 hereof, and taxes not in excess of Fifty Thousand Dollars ($50,000) in the aggregate, and shall deliver to Bank, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.

Timely file, and require each of its Subsidiaries to timely file, all required tax returns and reports and timely pay, and require each of its Subsidiaries to timely payfile, all foreign, federal, state and local taxes, assessments, deposits and contributions owed by Borrower and each of its Subsidiaries, except for deferred payment of any taxes contested pursuant to the terms of Section 5.9 hereof, 5.8 hereof and taxes except where any delay in doing so would not in excess of Fifty Thousand Dollars ($50,000) in the aggregatehave a material adverse effect on Borrower’s business, and shall deliver to BankCollateral Agent, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.

Timely file, and require each of its Subsidiaries to timely file, all required material tax returns and reports and timely pay, and require each of its Subsidiaries to timely pay, all material foreign, federal, state and material local taxes, assessments, deposits and contributions owed by Borrower and each of its Subsidiaries, except for deferred payment of any taxes contested or deferred filing and payment of taxes subject to voluntary disclosure or other negotiation proceedings pursuant to the terms of Section 5.9 hereof, and taxes not in excess of Fifty Thousand Dollars ($50,000) in the aggregate, and shall deliver to Bank, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.

Timely file, and require each of its Subsidiaries to timely file, all required tax returns and reports and timely pay, and require each of its Subsidiaries to timely pay, all foreign, federal, state and local taxes, assessments, deposits and contributions owed by Borrower and each of its SubsidiariesSubsidiaries in excess of Twenty Five Thousand Dollars ($25,000), except for deferred payment of any taxes contested pursuant to the terms of Section 5.9 hereof, and taxes not in excess of Fifty Thousand Dollars ($50,000) in the aggregate, and shall deliver to Bank, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.

Timely file, and require each of its Subsidiaries to timely file, all required tax returns and reports except for tax returns and reports for amounts which do not exceed One Hundred Thousand Dollars ($100,000) in the aggregate and timely pay, and require each of its Subsidiaries to timely pay, all foreign, federal, state and local taxes, assessments, deposits and contributions owed by Borrower and each of its Subsidiaries, except for deferred payment of any taxes contested as otherwise specified pursuant to the terms of Section 5.9 hereof, and taxes not in excess of Fifty Thousand Dollars ($50,000) in the aggregate, and shall deliver to Bank, on demand, appropriate certificates attesting to such payments, and pay all amounts necessary to fund all present pension, profit sharing and deferred compensation plans in accordance with their terms.
