Taxing Authority Notification. Any member of the Company Group filing a case under chapter 11 of the Bankruptcy Code in the Bankruptcy Court in accordance with this Agreement that files Tax Returns on a consolidated, combined or unitary basis with Seller or any of its Affiliates shall notify, in accordance with applicable law, the IRS and any other applicable Taxing Authority in the jurisdiction, in which such case was filed, of the commencement of such case.
