Technical and Sales Support. Each Party and its Affiliates will cooperate with the other Party and its Affiliates as may be reasonably requested by the other Party to assist in the sale of the Combined Offering to a prospective Customer.

Technical and Sales Support. The Parties will provide technical support to each other, which is necessary to understand the relevant software pieces of the other party and implement the Trading Strategy into the BOTS Platform.
Technical and Sales Support. Eugene agrees to provide technical and sales support to XXX and its customers for all sales generated by XXX of any products sold outside of Japan and the Republic of Korea at all times during the term of this Agreement. Technical and Sales Support. (a) Representatives: The Technical Support Representative will be available to address Products covered by this Agreement during the hours and time zone indicated in the section 4 of this Exhibit B. The Marketing/Sales Representative is the Distributor’s contact for marketing and sales activities and the Order Processing Representative is the Distributor contact for information pertaining to any orders placed. (b) Product Problem Fixes: Distributor agrees to provide WEB4 written notice of all problems found in WEB4 Products listed in this Exhibit and submitting it to the representative listed in this Exhibit. WEB4 agrees to use reasonable efforts to resolve problems in WEB4 Products taking into consideration the seriousness of the problem and the impact upon the End User. The “Software License, Maintenance and Service Agreement” shall govern the maintenance activities between the Distributor, customer and WEB4.
Technical and Sales Support. Company shall provide a reasonable level of technical support to Representative and its representatives. Company shall use its best efforts to support Representative’s sales and marketing activities.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Verizon Operations Support Systems Verizon systems for pre- ordering, ordering, provisioning, maintenance and repair, and billing.

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard. For such services, the Fund will make the following payments to the Distributor:

  • CLAIMS SUPPORT The Board shall complete and submit the Trust Plan Administrator’s Waiver of Life Insurance Premium Plan Administrator Statement to the Trust Plan Administrator for life waiver claims when the Trust Plan Administrator does not administer and adjudicate the LTD benefits.

  • Operations Support Systems (OSS) 47.1. Embarq will offer unbundled access to Embarq’s operations support systems to the extent technically feasible in a non-discriminatory manner at Parity. OSS consists of pre- ordering, ordering, provisioning, maintenance and repair, and billing functions supported by Embarq’s databases and information. The OSS element includes access to all loop qualification information contained in Embarq’s databases or other records, including information on whether a particular loop is capable of providing advanced services.

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Customer Services Customer Relationship Management (CRM): All aspects of the CRM process, including planning, scheduling, and control activities involved with service delivery. The service components facilitate agencies’ requirements for managing and coordinating customer interactions across multiple communication channels and business lines. Customer Preferences: Customizing customer preferences relative to interface requirements and information delivery mechanisms (e.g., personalization, subscriptions, alerts and notifications).

  • Member Services The Manager shall (i) manage and coordinate distributions and payments to Members; (ii) manage and coordinate communications with Members; (iii) distribute reports, updates, and other information to Members; (iv) handle redemption requests from Members; and (v) provide services in the nature of investor relations.

  • Research Support (a) Having regard to the resources reasonably available for such purposes, the Operator will cooperate with AHS to provide such participation by its Staff as may be reasonable in relation to the carrying out of research within the Province. (b) The Operator agrees to promptly notify AHS in the event that it undertakes or agrees to participate in any form of clinical trial, research project, instrument use, or similar activity which in any way relates to the Services provided under this Agreement. The Operator shall, upon request, provide AHS with written evidence of Client disclosure and consent to research.
