Technical Support and Services. Licensor shall provide technical support services as outlined in the BoardEffect License and the BoardEffect Licensee Support and Maintenance Guide located at xxxx://xxx.xxxxxxxxxxx.xxx/support-guide. The staff of Licensee will perform all tasks related to content management such as editing or deleting content. All services performed by Licensor will be performed in a workmanlike manner per standard industry standards.

Technical Support and Services. 1.1 Party A agrees to provide to Party B, and Party B agrees to accept from Party A, technical support and services subject to the terms and conditions herein. Details of technical support and services include: (1) to conduct related technical research and development according to Party B’s business needs; (2) to be responsible for daily maintaining, monitoring, testing, and trouble shooting of Party B’s computer network equipment; (3) to provide advices and solutions to the technical queries with respect to Party B’s network equipment, technology products and software; and (4) to provide Party B with other related technical support and services as contemplated under this Agreement. 1.2 Party B shall provide active cooperation with Party A in performing the above mentioned responsibilities, including without limitation by providing related data, technical requirements and descriptions, as necessary. 1.3 The term of this Agreement is twenty (20) years, commencing from the effective date hereof. The Parties agree that Party A may elect to extend the term for another ten (10) years by providing a written notice before this Agreement expires. Party A may elect to make such extension for unlimited times. 1.4 Party A is the exclusive provider to Party B of the technical support and services set forth herein. Party B shall not accept any technical support or services provided by any third party without prior written consent from Party A. 1.5 Party A is solely and exclusively entitled to the rights and benefits with respect to any rights, titles, interests, and intellectual property rights developed by Party A or Party B that may arise from its performance of this Agreement, including without limitation to any copyrights, patents, expertise and business secrets. The Parties agree that this Article 1.5 shall survive the change, cancellation and termination of this Agreement, if any.

Technical Support and Services. 3.1 COMPANY Technical Support Responsibilities Company shall be solely responsible for providing all training, technical support and other services to its CUSTOMERS. Technical Support and Services. 9.1. The after-sales maintenance service of the product is uniformly managed by Party A. 9.2. Party A is responsible for installing and commissioning the authorized products sold by Party B. During the warranty period, all losses caused by product quality issues shall be assumed by Party A or be repaired or replaced by Party A, except for those quality issues not caused by Party A.
Technical Support and Services. 1.1 Party A agrees to provide to Party B, and Party B agrees to accept from Party A the technical support and services in accordance with the terms and conditions of this Agreement, the detailed contents of which are as follows: (1) To make research and development of relevant technologies according to Party B’s business needs; (2) To take charge of daily maintenance, supervision, testing and debugging for Party B’s computer network equipment; (3) To provide technical consultation and answers to Party B’s technical question regarding network equipment, technical products and software; (4) To provide other relevant technical support and services to Party B in accordance with this Agreement. 1.2 Party B shall actively cooperate with Party A to complete the above works, including but not limited to providing relevant data, technical specifications and instructions, etc.. 1.3 The service term under this Agreement is five years, which runs from the effective date of the Agreement. The parties agree to grant Party A an option to extend the term of this Agreement. Before expiration of this Agreement, Party A is entitled to extend the term of this Agreement for five years by written notification. 1.4 Party A shall be the exclusive provider of the technical support and services under this agreement to Party B; without Party A’s prior written consent, Paty B shall not accept any technical support and services from any third parties. 1.5 Party A has sole and exclusive rights to and interests in any rights, ownership, interests and all intellectual property including but not limited copyrights, patents, technology secrets, commercial secrets and others, that arising from the performance of this Agreement, whether developed by Party B or Party A. The parties agree that this article survives the modification, termination or expiration of this Agreement.
Technical Support and Services. 1. Once the systems are under construction, Party B shall dispatch professionals and technical personnel to guide the implementation in the different stages of construction to ensure proper progress. 2. Party B shall strictly abide by the procedures and regulations to conduct installation and testing of the systems. Party B shall accept the inspections or supervision from Party A. 3. Party B shall provide technical training to the personnel from Party A.
