Technology Grant. Subject to the terms and conditions of this Agreement, Stanford grants LogicBio a non-exclusive license for Technology to make, have made, use, import, copy, perform, display, distribute, and transmit Technology in the Licensed Field of Use.
Technology Grant. Trega hereby grants to Irori and its Affiliates a non-exclusive worldwide sublicense under Trega Technology to make, have made, use, import, market, have marketed, sell and have sold Licensed Products in the Field, subject to the limitation that such license hereby specifically excludes (i) the right to market, have marketed, to sell, have sold or otherwise transfer Licensed Products to *** (this list shall be reviewed and modified up on mutual consent of Trega and Irori on each anniversary of the effective date of this Agreement) (the "Excluded Companies") and (ii) the right to allow the use of Licensed Products by such Excluded companies. The foregoing sublicense shall be subject to applicable terms and conditions set forth in the April 11, 1985 license agreement between the Scripps Research Institute and Trega, attached as Exhibit A.
Technology Grant. Trega hereby grants to Biogen and its Affiliates:
(a) a world-wide, nonsublicensable, nonexclusive sublicense under Trega Synthesis Technologies to make, have made, use, sell, offer for sale and import Products, subject to the terms of the License Agreement [CONFIDENTIAL TREATMENT REQUESTED], and such other agreements described in Exhibit D. This sublicense shall specifically include the right to [CONFIDENTIAL TREATMENT REQUESTED]; CONFIDENTIAL CONFIDENTIAL TREATMENT REQUESTED
(b) [CONFIDENTIAL TREATMENT REQUESTED] license under Trega Patent Rights and Trega Technology to make, have made, use, offer for sale, import and sell [* * *] Set Compounds purchased hereunder; and
(c) a world-wide, sublicensable, nonexclusive license under Trega Patents Rights and Trega Technology to make, have made, use, offer for sale, import and sell Products [CONFIDENTIAL TREATMENT REQUESTED].
(i) [CONFIDENTIAL TREATMENT REQUESTED]; (ii) evaluate, investigate, or characterize Trega Materials or Products derived from or based upon Trega Materials for purposes of [CONFIDENTIAL TREATMENT REQUESTED]; provided, however, that Biogen may evaluate, investigate, or characterize Trega Materials and Products derived from or based upon Trega Materials that have [CONFIDENTIAL TREATMENT REQUESTED]; (iii) make, have made, use, sell, offer for sale, or import Products derived from or based upon Trega Materials which result from the activities in clauses (i) and (ii) above. Notwithstanding the foregoing (i), (ii) and (iii), Biogen shall have the right to screen Trega Materials or Products derived from or based upon Trega Materials for [CONFIDENTIAL TREATMENT REQUESTED]. Additionally, the foregoing rights and licenses granted to Biogen hereunder shall [CONFIDENTIAL TREATMENT REQUESTED]. CONFIDENTIAL CONFIDENTIAL TREATMENT REQUESTED ARTICLE 4
Technology Grant. On the first day of the month following the Second Amendment Effective Date, we will provide you with a fund in the amount of $20,000 from which you may draw to pay for jail management system integration costs associated with the Agreement (the “Technology Grant”). The Technology Grant may not be used for any other purpose. The Technology Grant will be furnished and may be used for purchases made during the Term. Any amount remaining in the fund at the expiration of the Term or earlier termination of this Agreement is forfeited and will no longer be available. All Technology Grant payments will be final and binding upon you unless we receive written objection within 60 days after the payment has been made to the fund.
Technology Grant. Trega hereby grants to Purchaser:
3.1.1 a world-wide, irrevocable, royalty-free, sublicensable, non-exclusive license under the Trega Patent to make, have made, use, offer for sale, import and sell Products synthesized or derived directly or indirectly from, or by use of, Trega Materials; and
3.1.2 [CONFIDENTIAL TREATMENT REQUESTED].
Technology Grant. (a) The Licensee shall provide the Town witha technology grant in the amount of Ninety Thousand Dollars ($90,000.00) within sixty (60) days of the Effective Date of this Renewal License, to be used for the Town’s cable and communications related needs, the cabling of municipal and school buildings, and related equipment. Separate from the above uses, said funds shall not be used to purchase equipment the purpose of which is to commercially compete with the Licensee. The Issuing Authority shall be responsible for all decisions as to how funds from the Access and Technology Fund shall be allocated.
(b) Under no circumstances shall said technology grant be counted against: (1) the funding payable to the Town pursuant to Section 6.6 infra and/or (2) the License Fee payment required by Section 7.1 infra; and/or any other fees or payments required by this Renewal License or applicable law.
Technology Grant. 6.1. ICSP shall provide Customer a one-time Technology Grant of ninety thousand ($90,000.00) dollars upon execution of this Agreement by both parties. Late fees (as outlined in Section 26 – Liquidated Damages) shall apply to the one-time Technology Grant should ICSP fail to remit the one-time Technology Grant to Customer and/or its Designated Agent within five (5) days following the execution of this Agreement.
Technology Grant. I-Link hereby grants to Cyber Office a perpetual (subject to Section 12.3(b)) non-transferable license to use the Licensed Technology for the purpose of implementing the Combined Network and providing enhanced telecommunications services, provided however that such license shall not extend to or permit the use of the Licensed Technology in connection with, any multilevel or network marketing distribution channels like, for example, the current arrangements between I-Link and Big Planet (the "Purpose"). Cyber Office shall not use the Licensed Technology in connection with any of its products and services other than the Purpose and shall otherwise use it solely in accordance with this Framework Agreement. The parties acknowledge and agree that as consideration for the foregoing license and other rights described herein, I-Link and Cyber Office will enter into the Revenue Sharing Agreement described below, which Revenue Sharing Agreement will provide for certain payments between the parties.
Technology Grant. Within sixty (60) days of the effective date of this Renewal License, Licensee shall provide the Town of Xxxxxx with a one-time cash grant of Fifteen Thousand Dollars ($15,000) to be used for technology purposes.
Technology Grant. The Company shall provide, on an annual basis over the course of each year of the term of the Franchise, Ten Thousand Dollars ($10,000) to be used by OCTT to fund the District’s efforts relating to technology training, including, but not limited to, OCTT’s hiring of students to teach on-the-job skills relating to the operation and management of the city’s municipal cable television channels. The aggregate commitment shall be Fifty Thousand Dollars ($50,000). The Company will make the first payment of $10,000 at the Closing of this Agreement and additional payments of $10,000 each will be made on the anniversary date of the Effective Date for the succeeding years of the Franchise. The payments made pursuant to this Section are in addition to (and not in lieu of) any other commitments, fees or taxes owed by the Company to the District, whether pursuant to this Agreement or otherwise.
