Common use of Technology Licensing Clause in Contracts

Technology Licensing. 9.1 8Squad grants the Client and its successors and assigns a perpetual, royalty-free, worldwide licence to use Proprietary Technology within the products or services offered to the Client's customers, provided that the Proprietary Technology: (a) Is provided as part of the Services; and (b) Is required to be used by the Client in the products or services it offers to its customers, unless agreed otherwise in writing. 9.2 The licence contained in clause 9.1 is subject to the following conditions: (a) the Client must not sub-licence or in any way commercialise the Proprietary Technology separately from the Services or Deliverables the Proprietary Technology is contained in; and (b) the Client must not reverse engineer, decompile or otherwise purport to copy the Proprietary Technology. 9.3 For the avoidance of doubt, Proprietary Technology shall be treated separate from any other Intellectual Property under this Agreement.
