TECHNOLOGY TRANSFER ACTIVITIES. The parties have identified a series of technology transfer activities required to prepare for Intermediate and Product batch production by Hollister-Stier. The Technology Transfer Project activities listed ix Xxxxxxx XX.X. of this Exhibit will be completed prior to the manufacture of CTM batches of the Intermediate and Product.

TECHNOLOGY TRANSFER ACTIVITIES. Without limiting the generality of the foregoing, ARCHEMIX agrees to be available for consultation and advice upon MERCK’s reasonable request after the initial training period at the ARCHEMIX Facility set forth in the SELEX Technology Transfer Plan. MERCK shall pay ARCHEMIX the FTE Cost of all FTEs used by ARCHEMIX in performing Technology Transfer Activities and reimburse ARCHEMIX for the Third Party Costs incurred by ARCHEMIX in connection with its performance of the Technology Transfer Activities (the “Technology Transfer Costs”) as set forth in Section 6.4.1(a) and as described more fully in the SELEX Technology Transfer Plan.
TECHNOLOGY TRANSFER ACTIVITIES. In consideration of the performance by ARCHEMIX of the Technology Transfer Activities under the SELEX Technology Transfer Plan as described in Section 3.2, during each Calendar Quarter of the Technology Transfer Term, MERCK will pay ARCHEMIX the Technology Transfer Costs and the FTE Cost applicable to the Technology Transfer Activities conducted during such Calendar Quarter within [***] days of MERCK’s receipt of an invoice corresponding to such Calendar Quarter.

TECHNOLOGY TRANSFER ACTIVITIES. In furtherance of NASA‘s policy objective of encouraging technology transfer, costs incurred in promoting and facilitating U.S. public and private sector technology transfer consistent with the requirements of this Contract shall be allowable.
TECHNOLOGY TRANSFER ACTIVITIES. NEMOSINE plans a technology transfer and training program to be carried out at the last stages of the project, between M30 and M48, which can include a balance of training in scientific and technological aspects directly related to the activities carried out within the scope of the project. Technology transfer and training program will target the wide range of production companies in the interest areas of the project e.g. new materials developed, sensors, modelling, etc and will include the following types of activities: This will be mainly done by the organization of two NEMOSINE workshops, that will be organized in M36 and M48, in parallel with the consortium meetings or a relevant external event and/or in collaboration with other R&D initiatives identified in Section 5 of this deliverable. The initial contents for the first workshop in M36 will be related to the progress achieved so far on the active acid adsorbers based on functionalized Metal Organic Framework (MOFs) integrated in low density and porous structures, and the gas detection sensors based on nanotechnology to monitoring AA, water, O2 & NO. However, these initial contents can be modified if the workshop in organized jointly with another initiative to complement any potential additional contents. TECHNOLOGY TRANSFER ACTIVITIES. During the Technology Transfer Period, each Party will, itself or with or through an Affiliate or Subcontractor engaged in accordance with Section 4.3 (Subcontracting), perform all activities set forth in the Technology Transfer Plan or otherwise required to enable the transition of the Collaboration Product and Collaboration Trial to Galapagos (“Technology Transfer Activities”); including, as further specified in the Technology Transfer Plan, the transfer to Galapagos of (***). The Technology Transfer Plan will also set forth any ongoing activities in relation to the Collaboration Trial which will transfer to Galapagos upon becoming sponsor of the Collaboration Trial (e.g., (***)); and confirmation of ongoing activities in relation to the Collaboration Trial to be performed by Adaptimmune (e.g., (***)).
TECHNOLOGY TRANSFER ACTIVITIES. Within [**] days of the Effective Date, and on an ongoing basis thereafter, MDCO will supply APP with the materials and documentation that are in MDCO's possession free of an obligation of confidentiality to a third party, which will include Know-How and any other knowledge, documentation and information that may be necessary or useful for APP to commercially manufacture the Product. The manufacture of the Product will be transferred to the Manufacturing Site according to a time schedule to be agreed upon between the Parties. In addition, APP agrees to initiate as soon as reasonably possible the technical transfer and feasibility activities necessary for the transfer of the commercial manufacture of the Product to the Manufacturing Site.
