TEI Med Securityholders Sample Clauses

TEI Med Securityholders. The TEI Med Securityholders shall, and shall cause their Affiliates (to whom they disclose any of the Confidential Information described below in this clause (a)) and their respective Representatives to, maintain the confidentiality of, and not use for any purpose other than in connection with the transactions contemplated hereby, all Confidential Information obtained in contemplation or negotiation of the transactions contemplated hereby and relating to Parent or its Affiliates, except to the extent that disclosure of such information is required by applicable Law, is authorized in writing by Parent or reasonably occurs in connection with any dispute over the terms of this Agreement or any Additional Agreement. In addition, from and after the Closing, the TEI Med Securityholders shall, and shall cause their Affiliates (to whom they disclose any of the Confidential Information described above in this clause (a)) and their respective Representatives to, maintain the confidentiality of, and not use for any purpose, all Confidential Information of the Business, except (i) as may be required by applicable Law, (ii) is authorized in writing by Parent or (iii) reasonably occurs in connection with any dispute over the terms of this Agreement or any Additional Agreement.
