(b) To the best of its knowledge and belief, it and each member of each Joint Venture Group is in compliance in all material respects with any conditions set by the Director General of Telecommunications or by OFCOM under section 45 of the Communications A▇▇ ▇▇▇▇ as are applicable to it or such member of the Joint Venture Group (as the case may be), in each case, where failure to do so could reasonably be expected to have a Material Adverse Effect.

(b) any TCN Entity fails to comply with any term or condition applicable to it, set by the Director General of Telecommunications or by OFCOM under section 45 of the Communications Act 2003 where such non-compliance would have or would be reasonably likely to have a Material Adverse Effect, in the opinion of the Agent; or
