Telpart’s Representations and Warranties. Seller undertakes not to waive its right to obtain from Telpart, for Seller’s benefit, at the date of the SPA Closing, a written certificate confirming that the representations and warranties given by Telpart to Seller under the SPA continue to be true and correct in all material aspects (except for representations and warranties that are qualified as to materiality, which shall be true and correct), as contemplated in Section 2.6.
