Common use of Tenant Holdover Clause in Contracts

Tenant Holdover. If, with the prior written approval of Landlord, Tenant fails to vacate the Premises after the Expiration Date of this Lease, or any earlier termination hereof, Tenant shall be a tenant at sufferance even if Tenant tenders rent to Landlord. However, if Landlord so elects, in its sole discretion, Tenant shall become a tenant from month to month upon the terms of this Lease; provided, however that Base Rent shall be adjusted beginning on the first day after the Expiration Date to be the equal to 150% of the Base Rent in effect at the expiration of the Lease. Notwithstanding anything contained herein to the contrary, Tenant shall be liable to Landlord for any and all damages caused by such failure to vacate the Premises after the Expiration Date of this Lease or any earlier termination hereof, including but not limited to incidental and consequential damages to Landlord.

However, if the election of Landlord so elects, in its sole discretion, Tenant shall become a tenant from month to month upon the terms of this Lease; provided, however that Base Rent shall be adjusted beginning on the first day after the Expiration Date to be the equal to 150110% of the Base Rent in effect at the expiration of the LeaseLease for the first two (2) months and 200% of the Base Rent in effect at the expiration of the Lease thereafter. Notwithstanding anything contained herein to the contrary, Tenant shall be liable to Landlord for any and all damages caused by such failure to vacate the Premises after the Expiration Date of this Lease or any earlier termination hereof, including but not limited to incidental and consequential damages to Landlord.
