The Company shall provide to the Underwriter or its counsel (if so instructed by the Underwriter) with 10 copies of all tender offer documents or proxy information and all related material filed with the commission in connection with a Business Combination concurrently with such filing with the commission. Documents filed with the Commission pursuant to its XXXXX system shall be deemed to have been provided to the Underwriter pursuant to this Section. In addition, the Company shall furnish any other state in which its initial public offering was registered, such information as may be requested by such state.
