Common use of Tender or Exchange of Company Stock Clause in Contracts

Tender or Exchange of Company Stock. The Trustee shall use its best efforts timely to distribute or cause to be distributed to each Plan Participant any written materials distributed to stockholders of the Company generally in connection with any tender offer or exchange offer, together with a form requesting confidential instructions as to whether or not to tender or exchange shares of Company Stock held in the Trust. Upon timely receipt of instructions from a Plan Participant, the Trustee shall tender such Participant's Participant Directed Amount if such Plan Participant has directed the Trustee to tender.
