TERM AND TERMINATION; ARBITRATION. Subject to Paragraphs 3(b), (c) and (d) below, the initial term of this Agreement shall run through [***********] (the "Initial Term"). Upon no less than 90 days' written notice from one party to the other, the term of this Agreement may be renewed by mutual consent of both parties hereto and on terms and subject to conditions agreed to by both parties. (The Initial Term and each such renewal term are referred to herein as a "Term.")
