Term; Condition of Premises. (a) The term of this Lease shall commence and, unless sooner terminated as hereinafter provided, shall end on the dates respectively specified in the Basic Lease Information as the "TERM COMMENCEMENT" and the "TERM EXPIRATION." Except as otherwise set forth in the Work Letter attached to this Lease as EXHIBIT C, Landlord shall deliver the 7th Floor Premises, the 9th Floor Premises and the 10th Floor Premises to Tenant on the commencement of the respective term of each in their then existing condition with no alterations being made by Landlord. If Landlord, for any reason whatsoever, cannot deliver the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises to Tenant at the commencement of the respective terms thereof, this Lease shall not be void or voidable nor modified in any manner, nor shall Landlord be liable to Tenant for any loss or damage resulting therefrom. No delay in delivery of the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises shall operate to extend the term hereof, and any early commencement of the term shall not operate to advance the Term Expiration, unless, in either case, Landlord so elects by notice to Tenant. Tenant shall execute a confirmation of the Term Commencement, Term Expiration and other matters, in such form as Landlord may reasonably request, within ten (10) days after requested.

If Landlord, for any reason whatsoeverreason, cannot deliver the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises to Tenant at on the commencement of the respective terms thereofAnticipated Target Commencement Date, this Lease shall not be void or voidable nor modified in any mannervoidable, nor shall Landlord be liable to Tenant for any loss or damage resulting therefromfrom nondelivery, but in that event rental shall be waived for the period between the Commencement Date and the time when Landlord delivers the Premises to Tenant in the condition required hereunder. If the Commencement Date for the Premises has not occurred or been deemed to have occurred by November 15, 2000, then at any time thereafter, but before such Commencement Date shall have occurred or been deemed to have occurred, Tenant may terminate this Lease by written notice to Landlord and both parties shall be released from all obligations under this Lease, provided Landlord shall promptly return all rent and other sums paid by Tenant. No delay in delivery of the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises shall operate to extend the term hereof, and any early commencement Term of this Lease. If Tenant takes occupancy of the term Premises prior to the Anticipated Target Commencement Date, then the Commencement Date of the Lease shall be the date of such early occupancy by Tenant; provided, however, that the Termination Date shall not operate to advance the Term Expiration, unless, in either case, Landlord so elects be affected by notice to Tenant. Tenant shall execute a confirmation of the Term Commencement, Term Expiration and other matters, in such form as Landlord may reasonably request, within ten (10) days after requestedearly occupancy.

If Landlord has undertaken in this Lease to make any alterations to the Premises before the Commencement Date and the alterations are completed before that date, and if Tenant desires to take occupancy in advance of that date, Landlord shall deliver the Premises to Tenant at that time in advance of a date that will be mutually approved by Landlord and Tenant and, notwithstanding anything to the contrary contained in this Lease, the Term of the Lease shall commence on delivery. If Landlord, for any reason whatsoeverreason, cannot deliver the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises to Tenant at on the commencement of the respective terms thereofCommencement Date, this Lease shall not be void or voidable nor modified voidable, except as otherwise provided in any manner, Exhibit D nor shall Landlord be liable to Tenant for any loss or damage resulting therefromfrom nondelivery, but in that event rental shall be waived for the period between the Commencement Date and the time when Landlord delivers the Premises to Tenant.
