Common use of Term Loan Repurchases Clause in Contracts

Term Loan Repurchases. (a) Notwithstanding anything to the contrary contained in any Loan Document, the Company may conduct reverse Dutch auctions from time to time in order to purchase Add-On Term Loans (each, an “Auction”) (each such Auction to be managed exclusively by the Agent or another investment bank(s) of recognized standing selected by the Company following consultation with the Agent (in such capacity, the “Auction Manager”)), so long as the following conditions are satisfied:

(a) Notwithstanding anything to the contrary contained in any Loan Document, the Company Borrower may conduct reverse Dutch auctions from time to time in order to purchase Add-On Term Loans (each, an “Auction”) (each such Auction to be managed exclusively by the Agent (if it consents to do so in its sole discretion) or another investment bank(s) of recognized standing selected by the Company Borrower following consultation with the Agent (in such capacity, the “Auction Manager”))) in an aggregate amount not to exceed $60,000,000, so long as the following conditions are satisfied:
