Common use of Term of Agreement; Survival Clause in Contracts

Term of Agreement; Survival. This Agreement shall terminate on the Expiration Date; provided, however, that (i) the rights and remedies of the parties hereto with respect to any representations or warranties made or deemed to be made by such party in this Agreement, and (ii) the provisions of Article V and Sections 6.10 and 6.11 of this Agreement shall survive the termination of this Agreement and the payment in full of the Note Principal Balance. Furthermore, all representations, warranties, covenants, guaranties and indemnifications contained in this Agreement and the Transaction Documents and in any document, certificate or statement delivered pursuant hereto or in connection herewith shall survive the sale and transfer of the Offered Notes.

This Agreement shall terminate on the Expiration Series [ ] Termination Date; provided, however, that (ia) the rights and remedies of the parties hereto with respect to any representations or warranties made or deemed to be made by such party in this Agreement, and (iib) the provisions of Article V Sections 7.9, 7.10 and Sections 6.10 and 6.11 7.11 of this Agreement shall survive the termination of this Agreement and the payment in full of the Class A Note Principal Balance. Furthermore, all representations, warranties, covenants, guaranties and indemnifications contained in this Agreement and and, to the extent incorporated herein, the Transaction Documents and in any document, certificate or statement delivered pursuant hereto or in connection herewith shall survive the sale and transfer of the Offered Class A Notes.
