Common use of Term of Representation and Warranties Clause in Contracts

Term of Representation and Warranties. The representations and warranties set forth in Section 5 above shall expire as set forth below, provided, however, that the Buyer shall not be excluded from bringing a claim against the Seller for a misrepresentation or breach of warranty after the expiry of the period set forth below if such specific claim has been duly and timely notified by the Buyer to the Seller in accordance with Section 8.1.2(a) before the applicable expiry date:
