Term/Renewal Term. This License Agreement shall continue in effect for the period set forth in the Consortium Agreement. Prior to the end of the any term, ORCID shall provide a renewal notice/invoice to Consortium Leader setting forth the expiration date for the then-current term, the dates of the Renewal Term, the relevant fees for the Renewal Term, and the due date for such fees (which shall be net 45 days from the commencement of the Renewal Term). Consortium Leader shall have 30 days from the date of such renewal notice/invoice to provide a counter-notice to ORCID if it intends not to renew the Consortium Agreement and this License Agreement. Each Renewal Term shall be one (1) year and shall commence the first day following the end of the Initial Term or a Renewal Term (unless otherwise set forth in a renewal notice from ORCID). A renewal shall not require signature of the parties, and shall be deemed to have occurred if Consortium Leader does not provide a counter-notice of termination within such 30-day period. Failure to make timely payment in absence of a waiver from ORCID shall result in an automatic termination upon notice from ORCID, effective as of the end of the then- current term.
Term/Renewal Term. 3.1 The initial term of this Lease (“Term”) shall be for six (6) years commencing on the Commencement Date (as defined in Section 4.1 below) and expiring on the last day of the month preceding the month in which the sixth (6th) anniversary of the Commencement Date occurs (the “Expiration Date”), unless sooner terminated as hereinafter provided.
3.2 The originally named Tenant herein (the “Named Tenant”) shall have the option to renew the Term of this Lease for the period(s) and upon the terms contained in Section 3.3 hereof. Upon the commencement of any Renewal Term described therein, (i) any applicable Renewal Term shall be added to and become a part of the Term, (ii) any reference in this Lease to the “Term” shall be deemed to include the applicable Renewal Term, and (iii) the “Expiration Date” shall mean the date of expiration of the applicable Renewal Term.
(a) Named Tenant shall have the right (each a “Renewal Option”) to extend the initial Term of this Lease (“Initial Term”) for two (2) periods of six (6) years each (each such period being a “Renewal Term”), provided that Named Tenant shall give Landlord notice of its election to renew the Term of this Lease (the “Renewal Notice”), on or before the date (the “Renewal Term Notice Date”) that is one (1) year prior to the applicable Expiration Date, and upon the giving of such notice this Lease shall be deemed renewed for the applicable Renewal Term with the same force and effect as if such Renewal Term had initially been included in the Term. All of the terms, covenants and conditions of this Lease shall continue in full force and effect during the Renewal Term, except that the Fixed Rent for the Renewal Term shall be as set forth in Article 5 below. All references in this Lease to “Term” shall include the Renewal Term which is effective in accordance with the provisions of this Section.
(b) Each Renewal Option shall be conditioned upon no Event of Default having occurred hereunder, and upon this Lease being in full force and effect on the date of Landlord’s receipt of Named Tenant’s Renewal Notice and on the commencement date of the applicable Renewal Term (“Renewal Term Commencement Date”). Any termination, cancellation, surrender, assignment or sublet of the interest of Named Tenant under this Lease at any time during the Term shall terminate the Renewal Option hereunder.
Term/Renewal Term. This Agreement shall continue in effect for the period set forth in the ORCID License Summary. Each Renewal Term shall be one year and shall commence the first day following the end the Initial Term or a Renewal Term (unless otherwise set forth in a renewal invoice from ORCID). A renewal shall not require signature of the Parties, and shall be deemed to have occurred if Licensee pays its renewal fee in a timely manner (as specified in a renewal invoice from ORCID, which shall provide for at least net 45 days payment), or if ORCID elects, in its sole discretion, to accept late payment. Failure to make timely payment in absence of a waiver from ORCID shall result in an automatic termination, effective as of the end of the then-current term.
Term/Renewal Term. Unless this Agreement is otherwise terminated by Licensor as provided in this Agreement, and provided Licensee is in full compliance with its duties and obligations hereunder, the initial Term of this Agreement shall be extended automatically at the expiration of the initial Term for a first "Renewal Term" unless Licensee gives Licensor written notice of termination between February 1, 2014 and July 31, 2014. The first Renewal Term shall commence on February 1, 2015 and continue until January 31, 2025, unless terminated earlier in accordance with the terms and conditions hereof. Subject to the same conditions, the initial Renewal Term shall be extended automatically upon its expiration for a second Renewal Term unless written notice of non-renewal is furnished to Licensor between February 1 and July 31 of the tenth year of the first Renewal Term. The Second Renewal Term shall commence on February 1, 2025 and continue until January 31, 2035, unless terminated earlier in accordance with the terms and conditions hereof. Subject to the same conditions, the second Renewal Term shall be extended automatically upon its expiration for successive five year Renewal Terms unless written notice of non-renewal is furnished to Licensor between February 1 and July 31 preceding the final year of the current Renewal Term. All renewals shall be upon the same terms and conditions as set forth in this Agreement, except as otherwise agreed to in writing by authorized officers of the Parties. If this Agreement remains in effect in 2040, the Parties agree to negotiate in good faith that year in order to conclude and execute an updated version of this Agreement, one reasonably adapted to current circumstances, market conditions, and the like.
Term/Renewal Term. The term of Tenant’s rights under this Agreement shall commence on the date hereof and shall terminate on (the “Expiration Date”), unless terminated earlier as provided herein. Tenant may terminate this Agreement at any time on 30 days’ notice to Landlord. Provided that Tenant is not in default under this Agreement, Tenant shall have the right to extend the term for year renewal term, commencing on ______________________ and expiring on (the “Renewal Term”). Tenant must exercise the option with respect to the Renewal Term, if at all, by giving written notice of exercise (“Tenant’s Notice”) to Landlord on or before the date that is ninety (90) days prior to the Expiration Date. Tenant will have no right to renew the term of this Agreement if Tenant’s notice is not timely delivered or if Tenant is in default under this Agreement (a) at the time Tenant’s Notice is delivered or (b) on the Expiration Date. The Renewal Term will be on the same terms and conditions as this Agreement, except Rent, which shall be $____________ per month throughout the Renewal Term.
Term/Renewal Term. This Agreement is effective upon the Effective Date, and has an initial term ending June 30, 2022 (“Initial Term”). If League is not then in material breach of this Agreement, then League may renew the Initial Term for one (1) two-year renewal term ending June 30, 2024, by giving written notice to Authority by no later than April 30, 2022 (“Xxxxxxx Xxxx,” and together with the Initial Term, the “Term”). If League exercises its option to renew this Agreement, all of the provisions of this Agreement shall apply and be as fully effective during the Renewal Term as during the Initial Term, subject, however, to potential increases in League Expenses (defined in Section 3.1(c)) and Resodding Expenses (defined in Section 3.4) over those applicable during the Initial Term.
Term/Renewal Term. The initial term of this Agreement begins on January 4, 1999 and continues through December 31, 2023, unless sooner terminated, renewed or extended as hereinafter provided. AMSO shall have the option to renew this Agreement for an additional term beginning on January 1, 2024 and ending on January 15, 2049, on the same terms and conditions herein set forth, except with respect to the purchase price adjustment set forth in Section 3 hereof. AMSO's option to renew shall be exercised, if at all, by written notice form AMSO to PMSV given not later than six (6) months prior to the expiration of the initial term of this Agreement.
Term/Renewal Term. The Term begins on the Effective Date and continues for three years from the Effective Date unless (a) both parties mutually agree in writing to extend the Term at least thirty (30) days prior to the expiry of the Term, or (b) Commercial Launch occurs in either Tencent Territory or Garena Territory. Upon the Commercial Launch of the Branded Game, this Agreement shall continue in full force and effect until terminated pursuant to Section 8.2 or 8.3 of the Terms and Conditions attached hereto as Attachment 1 or pursuant mutual agreement between the parties hereto in writing (the “Term”).
