Common use of Term Sheet Clause in Contracts

Term Sheet. To prepare a final term sheet relating to the offering of the Notes, containing only information that describes the final terms of the Notes, substantially in the form of Annex I hereto and approved by the Underwriters, and to file such final term sheet within the period required by Rule 433(d)(5)(ii) of the Rules and Regulations following the date the final terms have been established for the offering of the Notes; and

To prepare a final term sheet relating to the offering of the Notes, containing only information that describes the final terms solely a description of the Notes, substantially in the form of Annex I 1 hereto and approved by the UnderwritersRepresentatives, and to file such final term sheet within the period required by pursuant to Rule 433(d)(5)(ii433(d) of the Rules and Regulations following within the date the final terms have been established for the offering of the Notes; andtime period prescribed by such Rule;
