Common use of Term Sheets Clause in Contracts

Term Sheets. With respect to a particular issue of Notes, if requested by the Related Agents offering such Notes prior to the Applicable Time, the Company shall prepare a final term sheet relating to such Notes substantially in the form set forth in Exhibit D hereto or in such other form reasonably satisfactory to the Related Agents (the “Final Term Sheet”) and shall file the Final Term Sheet pursuant to Rule 433(d) under the Securities Act within the time required by such rule.
