Term; Survival. The terms of this Agreement shall be effective as of the Effective Date, and continue until such time as the payment of the Purchase Price and all other amounts due hereunder are fully satisfied, however; the terms, conditions, and obligations of Sections 11, 12, 13, 14, 27 and 28 hereof shall survive the termination of this Agreement.
