Termination and Invalidity. Without prejudice to other circumstances as provided by applicable Laws, this Agreement shall be terminated and become invalid under the following circumstances: (a) Share Purchase Agreement is terminated in accordance with Section 11.1 therein. (b) Company is wound up and deregistered with SAIC in accordance with Section 14 herein.
