If the Employee's employment with the Company terminates other than as a result of an Involuntary Termination within the twelve (12) months following a Change of Control, then the Employee shall not be entitled to receive severance or other benefits hereunder, but may be eligible for those benefits (if any) as may then be established under the Company's then existing severance and benefits plans and policies at the time of such termination.

If the Employee's ’s employment with the Company terminates other than as a result of an Involuntary Termination within the twelve twenty-four (1224) months following a Change of Control or for any reason before a Change of Control or on or after the date twenty-four (24) months following a Change of Control, then the Employee shall not be entitled to receive severance or other benefits hereunder, but may be eligible for those benefits (if any) as may then be established under the Company's ’s then existing severance and benefits plans and policies at the time of such termination.

If the Employee's ’s employment with the Company terminates for any or no reason other than as a result of an Involuntary Termination within the period beginning two (2) months before a Change of Control and ending twelve (12) months following after a Change of Control, then the Employee shall not be entitled to receive severance the Severance Amount or other benefits hereunderunder this Section 5, but may be eligible for those benefits (if any) as may then be established under the Company's ’s then existing severance and benefits plans and policies at the time of such termination.

If the Employee's ’s employment with the Company terminates for any or no reason other than as a result of an Involuntary Termination within the period beginning two (2) months before a Change of Control and ending twelve (12) months following after a Change of Control, then the Employee shall not be entitled to receive severance the Severance Amount or other benefits hereunderunder this Section 5, but may be eligible for those benefits (if any) as may then be established under the Company's then existing severance and benefits plans and policies at the time of such terminationset forth in Section 4.

If the Employee's ’s employment with the Company terminates other than as a result of an Involuntary Termination within the twelve one (121) month prior to or thirteen (13) months following a Change of Control, then the Employee shall not be entitled to receive severance or other any benefits hereunder, but may be eligible for those benefits (if any) as may then be established under the Company's ’s then existing severance and benefits plans and policies at the time of such termination.
