Common use of Termination by Adtalem Without Cause or By the Executive With Good Reason Clause in Contracts

Termination by Adtalem Without Cause or By the Executive With Good Reason. If: (i) the Executive’s employment with Adtalem is terminated during the Employment Period (A) by Adtalem without Cause or (B) by the Executive with Good Reason; and (ii) the Executive executes a Release and such Release is not timely revoked by Executive and becomes legally effective; and (iii) the Executive complies with the terms of this Agreement and the Release, then the Executive will be entitled to receive:

If:: ​ (i) the Executive’s employment with Adtalem is terminated during the Employment Period (A) by Adtalem without Cause or (B) by the Executive with Good Reason; andand ​ ​ ​ ​ (ii) the Executive executes a Release and such Release is not timely revoked by Executive and becomes legally effective; and (iii) the Executive complies with the terms of this Agreement and the Release, ​ then the Executive will be entitled to receive:
