Termination by Company for Cause or by Employee without Good Reason. If this Agreement is terminated by the Company for Cause or by you without Good Reason, you will be entitled to accrued but unpaid salary owed to you through the date of termination, and reimbursement for any legitimate business expenses, but you shall forfeit any other form of compensation, including but not limited to cash equity compensation and bonus compensation not already received by you or not already vested as of the date of termination. Any vested but unexercised options or warrants must be exercised by the earlier of (i) the one-year anniversary of the date of termination, or (iii) the expiry of such option’s or warrant’s term. In addition, the Company, in its sole discretion, may require you to return any unvested equity compensation set forth on the attached Schedule A.
