Common use of Termination by Covered Entity Clause in Contracts

Termination by Covered Entity. Upon Covered Entity’s knowledge of a material breach by Business Associate, Covered Entity may immediately terminate the Agreement. Alternatively, Covered Entity may choose to provide Business Associate with written notice of the existence of alleged material breach, and afford Business Associate an opportunity to cure the alleged material breach upon mutually agreeable terms.

Alternatively, Covered Entity may choose to provide Business Associate with written notice of the existence of an alleged material breach, and afford Business Associate an opportunity to cure the alleged material breach upon mutually agreeable terms. Failure to take reasonable steps to cure is grounds for immediate termination of this Agreement. If termination is not feasible, the Covered Entity may report such breach to the Secretary.
