TERMINATION BY EMPLOYEE OTHER THAN FOR GOOD REASON OR TERMINATION BY COMPANY FOR CAUSE. In the event that the Employee terminates his employment other than for Good Reason or the Company terminates his employment for Cause, the Employee shall not be entitled to any compensation except as set forth below: (i) Any base salary that is accrued but unpaid, any vacation that is accrued but unused (for the then current fiscal year only), and any business expenses that are unreimbursed -- as of the Date of Termination; and (ii) Any other rights and benefits (if any) provided under plans and programs of the Company, determined in accordance with the applicable terms and provisions of such plans and programs.
