Termination by Knight. In the event of material breach of this Agreement by LICENSEE, Knight may at any time provide written notice to LICENSEE of such material breach. If LICENSEE fails to cure the identified material breach within thirty (30) days after the date of the notice, Knight may by written notice given to LICENSEE terminate this Agreement, A “material breach” of this Agreement for purposes of this Section 12.3 would include, the failure to make the reports required under Article V of this Agreement on time or the failure to make the payments or deliveries required under Article IV of this Agreement on time,
