Termination by Northwest. Notwithstanding the provisions of Section 12.1, Northwest shall have the right to terminate this Agreement immediately and at its sole option if: (a) a Pinnacle Change of Control (as defined in the ASA) shall occur; or (b) the ASA is terminated.
