Termination by Purchaser or Seller By Reason of Breach. This Agreement may be terminated by the Seller, if at any time prior to the Closing there shall occur a material breach of any of the material representations, warranties or covenants of the Purchaser (or, in the case of representations, warranties or covenants qualified by materiality or Material Adverse Effect, a breach), and may be terminated by the Purchaser, if at any time prior to the Closing there shall occur a material breach of any of the material representations, warranties or covenants of the Seller (or, in the case of representations, warranties or covenants qualified by materiality or Material Adverse Effect, a breach); provided that, in either case, the Party alleged to be in material breach or to have failed to materially perform shall have received written notice of such material breach or material non-performance and such material breach or material non-performance has remained uncured for a period of fifteen (15) days after such notice has been received, provided, however that no cure period shall be required for a breach which by its nature cannot be cured.
