Common use of Termination by Reason of Executive’s Death or Disability Clause in Contracts

Termination by Reason of Executive’s Death or Disability. If the Executive’s employment shall be terminated during the Term by reason of the Executive’s death or Disability, Executive shall be entitled to receive (a) the Executive’s Base Salary through the Date of Termination at the rate in effect at the time the Notice of Termination is given; and (b) all compensation and benefits payable to the Executive through the Date of Termination under the terms of this Agreement or any compensation or benefit plan, program or arrangement maintained by the Company during such period and in which Executive participated as of the Date of Termination.
