Termination by SPO. 13.1.1 The SPO shall be entitled to terminate this Agreement upon the occurrence of a Consumer Event of Default which is not cured within the applicable Cure Period. 13.1.2 In case of termination pursuant to Clause 13.2.1, the Consumer shall, over and above the amounts payable by it to the SPO under other provisions of this Agreement, be required to pay to the SPO within 10 (ten) days of termination an amount (“Termination Compensation”) as per SCHEDULE – III which the parties agree and accept is the pre-agreed, pre-determined estimate of losses suffered by the SPO as a result of such termination.
