Common use of Termination by Stanford Clause in Contracts

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 will take effect 30 days after written notice by Stanford unless ***** remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix ASection 6.1; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 will 15.2will take effect 30 days after written notice by Stanford unless ***** remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period.

Termination by Stanford. (A) Subject to Section 18, Stanford may also terminate this Agreement if *****Annexon: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed ProductProduct in accordance with Section 6.1 above; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination Subject to Article 18 below, termination under this Section 15.2 16.2 will take effect 30 45 days after written notice by Stanford unless ***** Annexon remedies the problem in that 3045-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Fate: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing actively pursuing development or commercialization of Licensed Product; (3) misses a milestone described in Appendix A, provided that termination under this Section 16.3(A)(3) is subject to the provisions of Section 6.2; (4) is in material breach of any provisionprovision of this Agreement; or (5) provides any false report. (B) Termination under this Section 15.2 16.3 will take effect 30 sixty (60) days after written notice by Stanford unless ***** Fate remedies the problem in that 30-sixty (60) day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****RUGA: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing a Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any material provision; or (5) provides any materially false report. (B) Termination under this Section 15.2 will take effect 30 days after written notice by Stanford unless ***** RUGA remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment;; or (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 10.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period. (C) As of the effective date of termination, Company will: (1) cease use of Biological Material; and (2) return to Stanford or destroy all Biological Material.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix ASection 6.1; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 will take effect 30 days after written notice by Stanford unless ***** remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Jasper: (1) is delinquent on any report required pursuant to Section 6.2 or 8.1 or any payment; (2) is not diligently developing using Commercially Reasonable Efforts to develop and commercializing commercialize Licensed Product; (3) misses a milestone described in Appendix AA in accordance with Section 6.1; (4) is in material breach of any provisionprovision of this Agreement; or (5) provides any materially false reportreport under this Agreement. (B) Termination under this Section 15.2 15.3 will take effect 30 90 days after written notice by Stanford unless ***** Jasper remedies the problem in that 3090-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment;; or (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 12.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Surrozen: (1) is delinquent on any report or payment[****]; (2) is not diligently developing and commercializing Licensed Product[****]; (3) misses a milestone described in Appendix A[****]; (4) is in material breach of any provision; or (5) provides any false report[****]. (B) Termination under this Section 15.2 will take effect 30 90 days after written notice by Stanford unless ***** Surrozen remedies the problem in that 3090-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (53) provides any false report. (B) Termination under this Section 15.2 11.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period. (C) As of the effective date of termination, Company will: (1) cease use of Biological Material and any Licensed Products; and (2) destroy all Biological Material.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment;; or (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 10.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (53) provides any false report. (B) Termination under this Section 15.2 9.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period. (C) As of the effective date of termination, Company will: (1) cease use of Biological Material; and (2) destroy all Biological Material.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Company: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (54) provides any false report. (B) Termination under this Section 15.2 14.2 will take effect 30 days after written notice by Stanford unless ***** Company remedies the problem in that 30-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****Aditxt: (1) is delinquent on any report or payment; (2) is not diligently developing and commercializing Licensed Product; (3) misses a milestone described in Appendix A; (4) is in breach of any provision; or (5) provides any false report. (B) Termination under this Section 15.2 will take effect 30 days after written notice by Stanford unless ***** Aditxt remedies the problem in that 30-day period. To be clear, Aditxt will not be considered to be in breach absent its receipt of written notice by Stanford.

Termination by Stanford. (B) Termination under this Section 15.2 will take effect 30 90 days after written notice by Stanford unless ***** Surrozen remedies the problem in that 3090-day period.

Termination by Stanford. (A) Stanford may also terminate this Agreement if *****VIA: (1) is delinquent on any report or paymentpayment hereunder; (2) is not diligently developing and commercializing Licensed Product;, as evidenced by failure to meet the obligations set forth in Section 6.1 above; S04-121: GWK (3) misses a milestone described is in Appendix A;material breach of any provision of this Agreement; or (4) is in breach of any provision; or (5) knowingly provides any materially false reportreport hereunder. (B) Termination under this Section 15.2 14.2 will take effect 30 90 days after written notice by Stanford identifying the grounds for termination with reasonable particularity, unless ***** VIA remedies the problem in that 3090-day period.
