Termination by the Company for Cause or by the Executive without Good Reason. If Executive’s employment and this Employment Agreement are terminated by the Company for Cause or by Executive without Good Reason, the Company shall pay Executive the Accrued Obligations (as hereinafter defined) (other than, however, any amounts due under any Cash Incentive Plan which shall be forfeited pursuant to the terms of such plan), in a single, lump-sum payment in accordance with applicable payroll laws but in no event longer than 45 days following such termination.

If the Executive’s employment and this Employment Agreement are is terminated by the Company for Cause or by the Executive voluntarily terminates employment without Good Reason, the Company shall pay Executive the Accrued Obligations (as hereinafter defined) (other than, however, any amounts due under any Cash Incentive Plan which shall be forfeited pursuant to the Executive (a) any Annual Base Salary earned but not paid through the Termination Date, plus (b) the amount of any other benefits to which the Executive is legally entitled as of the Termination Date under the terms and conditions of such plan), any benefit plans of the Company in a single, lump-sum payment in accordance with applicable payroll laws but in which the Executive is participating as of the Termination Date. The Company shall have no event longer than 45 days following such terminationfurther obligations under this Agreement.
