Common use of Termination by the Company Other Than for Cause or Disability Clause in Contracts

Termination by the Company Other Than for Cause or Disability. If a Change in Control occurs and, within 36 months following such Change in Control (or if Executive can reasonably show that such termination by the Executive or by the Company was in anticipation of the Change in Control), the Company terminates Executive’s employment other than for Cause or Disability or does not extend the Employment Period as permitted under Section 3, or Executive terminates employment for Good Reason, then (and with respect to the payments and benefits described in clauses (ii) through (vii) below, only if Executive executes the Release):
