Termination by the Company without Cause or by the Officer for Good Reason. If the Officer’s employment with the Company is terminated by the Company for reasons other than Cause, death, "permanent and total disability" (within the meaning Section 22(e)(3) of Internal Revenue Code of 1986, as amended the “Code”) or is voluntarily terminated by the Officer for Good Reason, then the Officer shall be entitled to the Severance Benefits as described in Exhibit A herein as well as his Accrued Benefits. The notice period by either party shall be 3 months.
