Common use of Termination by the Company without Cause or Resignation by Executive for Good Reason (in connection with a Change in Control) Clause in Contracts

Termination by the Company without Cause or Resignation by Executive for Good Reason (in connection with a Change in Control). (a) In the event that the Company terminates Executive’s employment without Cause or Executive resigns for Good Reason during the three (3) months prior to, as of, or within twelve (12) months following the effective date of a Change in Control (“Change in Control Termination Date”), then Executive shall be entitled to the Accrued Obligations and, subject to Executive’s compliance with Section 6.1(d), including but not limited to the Release requirement and Executive’s continued compliance with Executive’s obligations to the Company under Executive’s Confidential Information Agreement, then Executive will be eligible for the following “Change in Control Severance Benefits:”

(a) In the event that the Company terminates Executive’s employment is terminated without Cause or Executive resigns for Good Reason during the three (3) months prior to, as of, or within twelve (12) months following the effective date of a Change in Control (“Change in Control Termination DateMeasurement Period”)) of the Company, then Executive shall be entitled to the Accrued Obligations and, subject to Executive’s full compliance with Section 6.1(d)6.1(c) above, including but not limited to the Release requirement and Executive’s continued compliance with Executive’s obligations to the Company under Executive’s Confidential Information Agreement, then Executive will be eligible for the following “Change in Control CIC Severance Benefits:”

(a) In the event that the Company terminates Executive’s employment is terminated without Cause or Executive resigns for Good Reason during the Reason, in either case, within three (3) months prior to, as of, or within preceding and twelve (12) months following the effective date of a Change in Control (the “Change in Control Termination DateMeasurement Period”)) of the Company, then Executive shall be entitled to the Accrued Obligations and, subject to Executive’s full compliance with Section 6.1(d)6.1(c) above, including but not limited to the Release requirement and Executive’s continued compliance with Executive’s obligations to the Company under Executive’s Confidential Information Agreement, then Executive will be eligible for the following “Change in Control CIC Severance Benefits:”
