Termination by the Company without Cause, Termination by Executive for Good Reason or Termination Upon Expiration. Following Non-Renewal of the Employment Term by the Company within 12 Months after a Change in Control. If Executive’s employment hereunder and this Agreement is terminated (x) by the Company without Cause, (y) by Executive for Good Reason or (z) upon expiration following non-renewal of the Employment Term by the Company, in each case, within twelve (12) months following a Change in Control, then the Company will pay Executive:
