Common use of Termination by the Employee for Good Reason or by the Employer Without Cause Clause in Contracts

Termination by the Employee for Good Reason or by the Employer Without Cause. If the Employee terminates this Agreement for Good Reason or if the Employer terminates the Employee without Cause, (except as otherwise provided in Section 6.5(e),) subject to Section 6.5(g), the Employer will (i) pay to the Employee a lump sum payment equal to two times the sum of (1) the Employee’s then current Salary plus (2) the Employee’s target Incentive Compensation for the Fiscal Year in which the termination is effective, and (ii) continue to provide the Employee with continued medical and life insurance benefits for twenty-four (24) months.

Termination by the Employee for Good Reason or by the Employer Without Cause. If the Employee terminates this Agreement for Good Reason or if the Employer terminates the Employee without Cause, good reason (except as otherwise provided in Section 6.5(e),) subject to Section 6.5(g)or if the Employer terminates the Employee without cause, the Employer will (i) pay (A) monthly to the Employee the Employee’s Salary for twenty-four (24) months, and (B) a lump sum payment equal to two times the sum of (1) the Employee’s then current Salary plus (2) the Employee’s target Incentive Compensation for the Fiscal Year in during which the termination is effective, and (ii) continue to provide the Employee with continued medical and life insurance benefits the Benefits for twenty-four (24) months.

Termination by the Employee for Good Reason or by the Employer Without Cause. If the Employee terminates this Agreement for Good Reason or if the Employer terminates the Employee without Cause, (except as otherwise provided in Section 6.5(e),) subject to Section 6.5(g), the Employer will (i) pay to the Employee a lump sum payment equal to two times one time the sum of (1) the Employee’s then current Salary plus (2) the Employee’s target Incentive Compensation for the Fiscal Year in which the termination is effective, and (ii) continue to provide the Employee with continued medical and life insurance benefits for twenty-four twelve (2412) months.
