Common use of Termination by the Sellers Clause in Contracts

Termination by the Sellers. This Agreement may be terminated at any time prior to the Closing Date by the Sellers if there has been a material breach of any of the covenants or agreements set forth in this Agreement on the part of the Purchaser, which breach is not capable of being cured or, if capable of being cured, is not cured within five (5) days after written notice of such breach is given by the Sellers to the Purchaser.

Termination by the Sellers. This Agreement may be terminated and the Transactions may be abandoned at any time prior to the Closing Date Effective Time by the Sellers Sellers’ Representative if there has been a material breach by the Buyer or the Parent of any of the covenants representation, warranty, covenant or agreements set forth agreement contained in this Agreement on the part of the Purchaser, which breach that is not capable of being cured curable or, if capable of being curedcurable, is not cured within five thirty (530) days after written notice of such breach is given by the Sellers Sellers’ Representative to the Purchaserparty committing such breach.

Termination by the Sellers.
