Termination Due to a Change in Control. For protection against possible termination after a Change of Control (defined below) of the Company and to induce Executive to continue to serve in his present capacity with the Company or in such other capacity to which Executive may be elected or appointed, the Company (or, if applicable, its successors or assigns) will provide the Severance Payments in a single lump sum payment to Executive, together with all Other Benefits, in the event Executive’s employment is terminated by the Company without Cause or by Executive after a Change in Control within one year after such Change of Control.
