Termination due to Death or Complete Disability. Until the fifth anniversary following the Initial Closing, if the Executive’s employment is terminated pursuant to Section 5.1.1 (Death or Disability), the Company will have the right (but not the obligation) to Call, and the Executive or Executive’s estate will have the right (but not the obligation) to Put, any or all of the Vested Shares at a price per share equal to their Fair Market Value.
