Common use of Termination Fee to Prior Servicer Clause in Contracts

Termination Fee to Prior Servicer. The Master Servicer shall deduct from any sum received by the Master Servicer from the successor servicer to the Servicer in respect of the sale, transfer and assignment of the servicing rights for the Home Equity Loans the sum of (i) all costs and expenses of any public announcement and of any sale, transfer and assignment of such servicing rights, (ii) the amount of any unpaid Servicing Fees and unreimbursed Delinquency Advances or Servicing Advances made by the Master Servicer and (iii) all costs and expenses of the Master Servicer incurred in connection with the appointment of the successor servicer. After such deductions, the remainder of such sum shall be paid by the Master Servicer to the Servicer at the time of such sale, transfer and assignment to the Servicer's successor. The Servicer shall not be entitled to any termination fee, if it is terminated pursuant to Section 8.20 hereof but shall be entitled to any accrued and unpaid Servicing Fees to the date of termination.
