Termination Following Change in Control. If a Change in Control of the Company shall have occurred while you are still an employee of the Company, you shall be entitled to the payments and benefits provided in Paragraph 4 hereof upon the subsequent termination of your employment within 24 months after such Change in Control, by you or by the Company unless such termination is (a) because of your death, (b) by the Company for "Cause" (as defined below), or (c) by you other than for "Good Reason" (as defined below), in any of which events you shall not be entitled to receive benefits under this Agreement.

Termination Following Change in Control. If a Change in Change-in-Control of the Company shall have occurred while you are still an employee of the Company, you shall be entitled to the payments and benefits provided in Paragraph 4 hereof upon the subsequent termination of your employment within 24 twelve (12) months after such Change in Change-in-Control, by you or by the Company Company, unless such termination is (a) because of your death, (b) by the Company for "“Cause" ” (as defined below), ) or (cb) by you other than for "“Good Reason" ” (as defined below); in either such event, in any of which events you shall not be entitled to receive benefits under this Agreement.

If any of the events described in Section 3 hereof constituting a Change change in Control control of the Company shall have occurred while you are still an employee of the Companyoccurred, you shall be entitled to the payments and benefits provided in Paragraph 4 Section 5 hereof upon the subsequent termination of your employment with the Company within 24 twenty-four (24) months after such Change in Controlevent, by you or by the Company unless such termination is (a) because of your deathdeath or Retirement, (b) by the Company for "Cause" (as defined below), Cause or Disability or (c) by you other than for "Good Reason" Reason (as defined belowall such capitalized terms are hereinafter defined), in any of which events you shall not be entitled to receive benefits under this Agreement.
