Either party may terminate or cancel this ---------------------- Agreement (including the or a Statement of Work, for a material breach or default of any of the terms, conditions or covenants of this Agreement by the other, provided that such termination or cancellation may be made only following the expiration of a thirty (30) if day period during which the other party breaches any material term of this Agreement and fails has failed to cure such breach within thirty (30) days following after having been given written notice thereof from the non-breaching partyof such breach.
